1. Acceptance of Terms
Welcome to Q-Invoice, a product of QuantaLynk. These Terms of Service (“Terms”) govern your access to and use of the Q-Invoice platform, including our website, applications, and related services (collectively, the “Service”).
By accessing or using Q-Invoice, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
Q-Invoice is a cloud-based invoicing platform designed for Indian service businesses. Our Service provides:
- Invoice creation, management, and tracking
- Client management and communication
- Payment collection through integrated payment gateways including UPI and bank transfers
- GST-compliant invoicing with automatic tax calculations
- Multi-channel invoice delivery via email, WhatsApp, and other messaging platforms
- Financial reporting and analytics
- Integration with accounting software and other business tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
3. Account Registration and Security
To use Q-Invoice, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your account information is accurate and up to date
You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you meet this age requirement.
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activities.
4. User Responsibilities
As a user of Q-Invoice, you agree to:
- Provide accurate and truthful information in your invoices and business records
- Comply with all applicable laws and regulations, including tax laws, GST requirements, and data protection regulations
- Obtain necessary consents from your clients before sharing their information with our platform
- Use the Service only for lawful business purposes
- Maintain accurate records and documentation as required by Indian law
- Report any errors, bugs, or security vulnerabilities you discover to our support team
5. Acceptable Use Policy
You agree not to use the Service to:
- Create or send fraudulent, misleading, or false invoices
- Engage in any illegal activities, including money laundering, tax evasion, or fraud
- Violate the intellectual property rights of QuantaLynk or any third party
- Transmit any viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Service
- Use automated systems or bots to access the Service without our express permission
- Resell, sublicense, or distribute the Service without authorization
- Harass, abuse, or harm other users or their clients
- Use the Service for any purpose that is illegal under Indian law or the laws of your jurisdiction
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice.
6. Payment Terms and Billing
Subscription Plans
Q-Invoice offers various subscription plans with different features and pricing. Current pricing and plan details are available on our website. All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless otherwise stated.
Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Payment Processing
Payments are processed through Razorpay, our payment partner. By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for keeping your payment information current.
Failed Payments
If a payment fails, we will attempt to process it again. If payment continues to fail, we may suspend your access to the Service until payment is received. You remain responsible for any unpaid amounts.
Taxes
You are responsible for all applicable taxes, including GST. We will provide GST-compliant invoices for your subscription payments.
7. Intellectual Property
Our Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by QuantaLynk and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes in accordance with these Terms.
Restrictions
You may not:
- Copy, modify, or create derivative works based on the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels
- Use our trademarks, logos, or brand names without written permission
Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.
8. User Content and Data
Your Data
You retain ownership of all data you input into the Service, including invoices, client information, and business records. You grant us a limited license to use this data solely to provide the Service to you.
Data Accuracy
You are solely responsible for the accuracy and legality of the data you enter. Q-Invoice does not verify the accuracy of your invoices or business information.
Data Export
You may export your data from the Service at any time through the available export features. We recommend maintaining regular backups of your important business data.
Data Security
We implement reasonable security measures to protect your data. However, you acknowledge that no system is completely secure, and we cannot guarantee the absolute security of your data. Please refer to our Privacy Policy for more details.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTALYNK AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Any damages arising from your use of or inability to use the Service
In no event shall our total liability exceed the amounts paid by you to Q-Invoice in the twelve (12) months preceding the claim, or INR 10,000, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content or data
- Warranties that any errors or defects will be corrected
You acknowledge that you use the Service at your own risk. We do not warrant that the Service will meet your specific requirements or expectations.
11. Indemnification
You agree to indemnify, defend, and hold harmless QuantaLynk and its directors, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights
- Any disputes between you and your clients related to invoices or payments processed through the Service
12. Termination
Termination by You
You may terminate your account at any time by contacting our support team or using the account closure feature in your settings. Termination does not entitle you to a refund of any prepaid fees, except as provided in our Refund Policy.
Termination by Us
We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe you have violated these Terms. We will endeavor to provide notice before termination except in cases of suspected fraud or illegal activity.
Effect of Termination
Upon termination, your right to use the Service will cease immediately. We may retain your data for a reasonable period to comply with legal obligations. You may request export of your data before account closure.
13. Dispute Resolution
In the event of any dispute, claim, or controversy arising from or relating to these Terms or the Service, you agree to first attempt to resolve the dispute through good-faith negotiation by contacting us at support@qinvoice.in.
If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the seat of arbitration shall be Mumbai, India.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Service.
You agree that any cause of action arising from or related to the Service must be commenced within one (1) year after the cause of action arose. Otherwise, such cause of action is permanently barred.
15. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms on our website with a new effective date
- Notify you via email or through a prominent notice in the Service
- Provide at least 30 days' notice for material changes
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.
